In short: this is a free educational tool run by ParqueMedia LLC. It uses AI to explain documents in plain English. It is not a law firm and does not give legal advice. The AI can be wrong. You are responsible for your own decisions. It is for adults in the United States only. This summary is for convenience; the full Terms below are what govern.
1. Agreement to these Terms
These Terms of Use ("Terms") are a legal agreement between you and ParqueMedia LLC, a New Jersey limited liability company ("ParqueMedia," "we," "us," or "our"). They govern your access to and use of the Contract Explainer website located at contracts.parquemedia.com, including any related pages, features, and content (together, the "Service").
By accessing or using the Service, including by pasting or uploading text or selecting the "Explain my document" button, you confirm that you have read, understood, and agree to be bound by these Terms and by the policies incorporated into them: the Privacy Policy, the Legal Disclaimer, the AI Disclosure, the Acceptable Use Policy, the Cookie Policy, the Notice for Users Outside the United States, and the Copyright Policy. If you do not agree, do not use the Service.
2. What the Service is, and what it is not
The Service is a free, automated, educational tool. You provide the text of a document, such as a contract or policy. The Service divides that text into sections and uses a third-party artificial intelligence model to generate a plain-language explanation of each section, an automated estimate of how much attention the section may deserve, and general pointers on where to verify information.
ParqueMedia is not a law firm. The Service does not provide legal advice, and no one who operates the Service is acting as your attorney. Using the Service does not create an attorney-client relationship, a fiduciary relationship, or any professional relationship between you and ParqueMedia or any person associated with it. Information you submit is not protected by attorney-client privilege or the work-product doctrine.
The Service does not tell you whether to sign, reject, negotiate, enforce, or terminate any document, and it does not apply the law to your particular facts. It is not a substitute for advice from a licensed attorney who knows your situation. The Legal Disclaimer and AI Disclosure describe these limits in detail and are part of these Terms.
3. Who may use the Service
You may use the Service only if all of the following are true:
- You are at least 18 years old and able to form a binding contract.
- You are located in the United States when you use the Service.
- You are not barred from using the Service under any applicable law.
- You will use the Service in compliance with these Terms.
The Service is designed for and directed to people in the United States only. See the Notice for Users Outside the United States.
4. No reliance; your responsibility for your decisions
You are solely responsible for any decision you make and any action you take or do not take concerning any document, agreement, policy, dispute, deadline, or legal matter. You agree that you will not rely on the Service as the sole or primary basis for any such decision, and that before making a decision with legal or financial consequences you will read the full original document yourself and, where the stakes warrant it, consult a licensed attorney in your state.
The Service is not designed for emergencies or time-sensitive matters. If you are facing a court date, a filing deadline, an eviction, a repossession, a wage garnishment, or any similar urgent matter, contact a licensed attorney or your local legal aid organization immediately.
5. Output generated by artificial intelligence
Explanations, concern ratings, summaries, state notes, and "where to verify" pointers ("Output") are generated automatically by an artificial intelligence model operated by a third party. Output may be inaccurate, incomplete, outdated, inconsistent from one use to the next, or wrong. In particular:
- The Service may misread, misinterpret, or omit a section, including a section that is important to you.
- A concern rating of "low" or "no concern" does not mean a section is safe, fair, lawful, or enforceable. A rating of "high" does not mean a section is unlawful or unenforceable.
- The absence of a flag or comment does not mean the absence of risk.
- Statements about the law of any state are general, may be out of date, and are not a determination of what the law is or how it applies to you.
- The Service reviews only the text you submit, up to its length limits. It does not review text that was cut off, attachments, exhibits, documents incorporated by reference, handwritten changes, or anything outside the submitted text.
- Text extracted from uploaded files may contain errors introduced during extraction.
You are responsible for comparing all Output against the original document and for verifying anything you intend to act on.
6. What you submit
6.1 Your responsibility. "Submissions" means any text, file content, or selections you provide to the Service. You are solely responsible for your Submissions. You represent and warrant that you have the right to submit them and that submitting them does not violate any law, contract, confidentiality obligation, court order, or right of any other person.
6.2 Remove sensitive information first. Before submitting, remove names, addresses, phone numbers, email addresses, account numbers, Social Security numbers, government identification numbers, dates of birth, signatures, and any other information that identifies you or anyone else. Do not submit protected health information, information about children, payment card numbers, passwords, trade secrets, privileged communications, classified information, or documents you are prohibited from disclosing.
6.3 No confidentiality. Submissions are transmitted over the internet to our hosting provider and to a third-party AI provider for processing, as described in the Privacy Policy. Although we do not store the text of your Submissions in our own database, you should not treat the Service as a confidential channel.
6.4 Limited license to us. You keep all rights you have in your Submissions. You grant ParqueMedia and its service providers a limited, non-exclusive, royalty-free license to host, transmit, process, and reproduce your Submissions solely as needed to operate the Service and generate Output for you, to protect the Service against abuse, and to comply with law.
7. Acceptable use
You agree to follow the Acceptable Use Policy. Among other things, you may not use the Service for any unlawful purpose, attempt to bypass its usage limits or security, use automated means to access it, attempt to extract or manipulate the instructions given to the AI model, submit content you have no right to submit, or present Output to anyone as legal advice or as the work of an attorney.
8. Usage limits and availability
The Service is provided free of charge and is subject to limits, including limits on document length, the number of sections reviewed per document, the number of requests from one visitor in a period of time, and the total number of reviews available across all visitors each day. We may change these limits at any time.
We may modify, suspend, restrict, or discontinue all or part of the Service at any time, for any reason, with or without notice, and without liability to you. We do not guarantee that the Service will be available, uninterrupted, timely, secure, or error-free. We may introduce paid features in the future, which will be subject to additional terms presented at that time.
9. Intellectual property
The Service, including its software, design, text, graphics, logos, the "ParqueMedia" name and wordmark, and the selection and arrangement of its content, is owned by ParqueMedia or its licensors and is protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial, informational purposes.
As between you and ParqueMedia, and to the extent permitted by law and by the terms of our AI provider, you may use the Output generated from your own Submissions for your own personal, informational purposes. You may not sell Output, publish it as professional advice, or use it to provide legal services to others. Because Output is machine-generated, it may not be unique, and other users may receive similar Output.
If you send us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation to you.
10. Third-party services and links
The Service relies on third-party providers, including a website hosting provider, an AI model provider, and a content delivery network. Their services are governed by their own terms and privacy policies, and we do not control them. The Service may refer or link to third-party websites, such as government websites. We provide these for convenience only and are not responsible for their content, accuracy, availability, or practices.
11. Disclaimer of warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARQUEMEDIA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, PARQUEMEDIA DOES NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; THAT THE SERVICE WILL IDENTIFY EVERY IMPORTANT, UNFAVORABLE, UNUSUAL, OR UNLAWFUL PROVISION IN A DOCUMENT; THAT ANY STATEMENT ABOUT THE LAW IS CORRECT; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE, SECURE, OR FREE OF ERRORS OR HARMFUL COMPONENTS. NO INFORMATION OBTAINED FROM PARQUEMEDIA OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARQUEMEDIA AND ITS MEMBERS, MANAGERS, OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE "PARQUEMEDIA PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, THE OUTPUT, OR THESE TERMS, INCLUDING ANY LOSS ARISING FROM A DECISION TO SIGN, NOT SIGN, NEGOTIATE, PERFORM, BREACH, OR TERMINATE ANY DOCUMENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY PARQUEMEDIA PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF THE PARQUEMEDIA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, THE OUTPUT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID PARQUEMEDIA FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS (US $50).
You acknowledge that the Service is provided free of charge, that these limitations reflect a reasonable allocation of risk, and that ParqueMedia would not provide the Service without them. These limitations apply even if a limited remedy fails of its essential purpose.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the ParqueMedia Parties from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your Submissions; (b) your use or misuse of the Service or Output; (c) your violation of these Terms or of any law; or (d) your violation of any right of another person, including any confidentiality, privacy, or intellectual property right. We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us in that case.
14. Notice to New Jersey residents
Sections 11, 12, 13, and 17 are intended to be only as broad as the laws of the State of New Jersey permit. If you are a New Jersey consumer, nothing in these Terms waives or limits any right or remedy that cannot be waived or limited under New Jersey law. In particular, and without limitation, nothing in these Terms:
- limits or excludes liability for a ParqueMedia Party's own intentional, willful, malicious, reckless, or grossly negligent conduct, or for fraud;
- limits your right to recover punitive damages where the New Jersey Punitive Damages Act (N.J.S.A. 2A:15-5.9 et seq.) allows them;
- limits any right or remedy you have under the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.), the New Jersey Products Liability Act (N.J.S.A. 2A:58C-1 et seq.), or the New Jersey Uniform Commercial Code;
- requires you to indemnify a ParqueMedia Party for that party's own negligence or wrongful conduct; or
- shortens any limitations period, or restricts any other right, that New Jersey law does not permit to be shortened or restricted by agreement.
All other provisions of these Terms apply to New Jersey residents.
15. Notice to residents of other states
Some states do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. If the law of your state of residence gives you rights that cannot be excluded or limited by contract, those rights remain in effect, and the exclusions and limitations in Sections 11 and 12 apply to you only to the extent that law permits.
16. Governing law and where disputes are heard
These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of New Jersey and applicable federal law of the United States, without regard to conflict-of-law rules. Subject to any right you have under the law of your state of residence that cannot be waived, you and ParqueMedia agree that any such dispute will be brought exclusively in the state or federal courts located in the State of New Jersey, and each of us consents to the personal jurisdiction of those courts. Either of us may bring a qualifying claim in small claims court.
Informal resolution first. Before filing any claim, you agree to email us at JDonline94@outlook.com with a description of the dispute and the outcome you seek, and to give us 30 days to try to resolve it. We will do the same for any claim we have against you, where we have contact information for you.
17. Individual claims only; time to bring claims
To the fullest extent permitted by applicable law, you and ParqueMedia each agree that any claim will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
To the fullest extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be filed within one year after the claim arose; otherwise, the claim is permanently barred. This paragraph does not apply where the law of New Jersey or of your state of residence does not permit the applicable limitations period to be shortened by agreement.
18. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the Service at any time. Sections 2, 4 through 6, 9, and 11 through 21 survive any termination.
19. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the "Last updated" date. Changes take effect when posted and apply to your use of the Service from that point forward. Your continued use of the Service after changes are posted means you accept the updated Terms. If you do not agree to them, stop using the Service.
20. General terms
Entire agreement. These Terms and the policies incorporated into them are the entire agreement between you and ParqueMedia concerning the Service and replace any earlier understandings on that subject.
Severability. If a court of competent jurisdiction finds any provision of these Terms unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
No third-party beneficiaries. Except for the ParqueMedia Parties, who may enforce the provisions that protect them, these Terms create no rights in any third party.
Electronic communications. You consent to receive communications from us electronically and agree that notices and agreements provided electronically satisfy any legal requirement that they be in writing.
Export and sanctions. You may not use the Service if you are located in a country or territory subject to comprehensive United States sanctions, or if you are on any United States government list of prohibited or restricted parties.
Headings. Section headings are for convenience only and do not affect interpretation.
